Restrictive Covenant Acknowledgment

This Restrictive Covenant Acknowledgment (“Acknowledgment”) is entered into as of 19 June 2026 by and between YGT Labs AI, LLC, a Delaware limited liability company (“Company”), and Eyüp Enes Vural (“Contractor”), and forms an integral supplement to the Independent Contractor Services Agreement between the parties dated 19 June 2026 (“Main Agreement”).

1. Acknowledgment of Restrictions

Contractor acknowledges that Contractor has read, understands, and agrees to be bound by Sections 7.5, 7.6, and 7.9 of the Main Agreement, including the defined terms Restricted Activity, Restricted Customer, Restricted Territory, and Restricted Period (Sections 2.7–2.10).

2. Consideration

Contractor agrees that adequate consideration for the restrictive covenants includes: (a) the opportunity to perform services under the Main Agreement; (b) commission-based compensation; (c) access to Company infrastructure, tools, and confidential information; and (d) training and know-how transfer. Contractor waives any claim that separate cash consideration was required for these covenants to be enforceable under Delaware law, to the extent permitted by applicable law.

3. Severability and Alternative Scope

Contractor agrees that if any court of competent jurisdiction finds the primary scope of Sections 7.5 or 7.6 unenforceable, the alternative narrowed scope set forth in Section 7.9(b) of the Main Agreement shall apply to the maximum extent permitted by law. Contractor further agrees that a court may modify overbroad provisions only where applicable law expressly permits, and Contractor does not rely on judicial blue-penciling as a substitute for reasonable drafting.

4. Governing Law

For purposes of interpreting and enforcing the restrictive covenants in this Acknowledgment, the validity, scope, and severability of Sections 7.5–7.6 shall be governed by the laws of the Republic of Türkiye, without prejudice to Company’s rights under Delaware and United States federal law for trade secret, copyright, and source-code violations as set forth in Section 10.1 of the Main Agreement.

5. Independent Contractor Status

Nothing in this Acknowledgment creates an employment relationship. Contractor remains an independent contractor as stated in Section 3.2 of the Main Agreement.
